The rules that deal with the publication of financial statements have undergone numerous updates over the past few years, so we have compiled a compilation so that you can stay up to date.
According to JUCESP Normative Ordinance No. 29/2023, dated April 24, 2023, it is no longer mandatory for large limited companies based in the State of São Paulo to publish their balance sheets and financial statements.
A company with a total asset of more than R$ 240 million or annual gross revenue of more than R$ 300 million in the previous fiscal year is considered to be a large company.
In addition, article 294 of the LSA provides that privately held companies with annual gross revenues of up to R$ 78 million are exempt from publishing their publications in printed newspapers, simply by publishing them electronically. In this sense, Ordinance No. 10031, dated November 22, 2022, considered that it is no longer mandatory for privately held companies with said annual gross revenue to make the publications and disclosures ordered by the LSA available on their respective websites, and disclosure through the SPED remains mandatory.
As an exception to the treaty above, articles 294-A and 294-B of the LSA establish certain special regimes for closed and open companies depending on the amount equivalent to their revenues.
