To take effect as a shareholder in a Brazilian company, an entity domiciled abroad or a foreign individual must permanently maintain a legal representative, resident in the country, with express powers to respond on their behalf, as well as receive citations in actions brought against them.

For a foreign investor to be a partner or shareholder in a Brazilian company, it is necessary to have a legal representative in Brazil.

The legal representative will receive the powers of the partner or shareholder resident or domiciled abroad to carry out various acts before federal, state and municipal entities and public authorities, so that the foreign company can exercise its rights before the Brazilian company.

The grounds are governed by several legal regulations, including article 119 of Law 6,404/76, which provides that the shareholder resident or domiciled abroad, who holds a shareholding in a Brazilian company, must keep a representative in the country with the power to receive a summons in actions against him.

In addition to the mandatory representation of a shareholder resident or domiciled abroad, the entity domiciled abroad must have a representative in the National Register of Legal Entities, legally constituted and domiciled in Brazil, with powers to manage the assets and rights of the entity in the country and represent it before the Federal Revenue Service, in accordance with Normative Instruction No. 2,119/22 of the Brazilian Federal Revenue Service.
